Involved in this appeal is the determination of which tribunal has jurisdiction over the dissolution of a water district organized and operating as a quasi-public corporation under the provisions of Presidential Decree No. 198, as amended; 1 the Regional Trial Court, or the Securities & Exchange Commission.

PD 198 authorizes the formation, lays down the powers and functions, and governs the operation of water districts throughout the country; it is "the source of authorization and power to form and maintain a (water) district."
