The following facts spawned the filing of these two consolidated cases:

On January 14, 1990, petitioner Jose Cabral Tiu (petitioner) and First Plywood Corporation (FPC) entered into an Agreement[1] whereby as a settlement of FPC's indebtedness to petitioner in the amount of P335,513.70, FPC authorized him to cut and haul 958.61 cubic meters of logs within its timber concession areas in Titay, Zamboanga del Sur and Labason, Zamboanga del Norte. Petitioner was to sell the logs in the name of FPC and keep the proceeds thereof.
